1. Acceptance of Terms
By accessing or using ModelStack's API services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.
2. Description of Service
ModelStack provides unified API access to multiple AI language models from various providers. We route your requests to upstream model providers and handle billing, authentication, and request orchestration.
3. API Keys and Security
3.1 API Key Responsibility
You are responsible for:
- Keeping your API keys secure and confidential
- All activity that occurs under your API keys
- Immediately notifying us of any unauthorized use
- Implementing proper security measures in your applications
3.2 Key Revocation
We reserve the right to revoke API keys if we detect abuse, security vulnerabilities, or violations of these Terms.
4. Acceptable Use
You agree NOT to use the Service to:
- Violate any laws or regulations
- Infringe on intellectual property rights
- Generate harmful, illegal, or abusive content
- Reverse engineer or attempt to extract model weights
- Resell or redistribute API access without authorization
- Overload or disrupt our infrastructure
- Bypass rate limits or security measures
5. Billing and Payment
5.1 Pricing
Pricing is based on usage and charged according to our published rate card. Rates may change with 30 days notice for existing customers.
5.2 Payment Terms
Invoices are issued monthly. Payment is due within 15 days. Failure to pay may result in service suspension. You are responsible for all applicable taxes.
6. Service Level and Availability
We strive for high availability but do not guarantee uninterrupted service. We are not liable for:
- Downstream provider outages or performance issues
- Scheduled maintenance (announced in advance)
- Force majeure events
- Internet connectivity issues
7. Data and Privacy
We implement a zero-log policy for API request/response content. See our Privacy Policy for details on data handling. You retain all rights to your input and output.
8. Intellectual Property
The Service, including its original content, features, and functionality, is owned by ModelStack and protected by international copyright and trademark laws.
9. Limitation of Liability
ModelStack shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use or inability to use the Service. Our total liability is limited to the amount you paid in the 12 months preceding the claim.
10. Termination
We may terminate or suspend your account immediately for violations of these Terms. You may terminate your account at any time through the dashboard. All provisions which should survive termination shall survive.
11. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be notified via email 30 days in advance. Continued use after changes constitutes acceptance.
12. Governing Law
These Terms are governed by the laws of the jurisdiction in which ModelStack operates, without regard to conflict of law provisions.
